Brett Eagle has extensive experience providing top-level global and domestic legal services to emerging growth and mid-stage companies as well as to larger, publicly held multinational corporations. He has successfully structured and negotiated various forms of preferred equity financing as well as secured and unsecured debt facilities, completed M&A transactions and advised on domestic and global corporate structures for clients in the U.S.A., Hong Kong and China, the U.K., Cayman Islands, British Virgin Islands, Australia, Germany, Switzerland, France and other countries around the world.
For the past 10 years Brett has served as founder and principal of Eagle Corporate Advisers, a boutique firm of legal and professional advisors, qualified to practice law in Australia as well as in the U.S.A. Eagle Corporate Advisers also engages in pro bono work and other social and community support projects. One of the more interesting projects was advising the government of Cambodia in establishing its first-ever stock exchange, reviewing draft legislation covering stock broker compliance rules, clearance and settlement facility requirements, listing rules and audit requirements and related. It launched with a total of 1 company trading on the exchange!
Prior to founding Eagle Corporate Advisers, Brett spent many years in New York, U.S.A. with Coudert Brothers LLP, a large corporate law firm. There he completed public debt and equity offerings worth hundreds of millions of dollars, worked closely with investment banks such as Goldman Sachs, Merrill Lynch and J.P. Morgan, structured and negotiated complex global investment funds with hundreds of millions of dollars invested by university and medical endowment funds, insurance companies, CalPERS and other government pension funds, and advised on U.S. and global securities compliance matters.
Brett also worked for a period of time in Silicon Valley and San Francisco under secondment to the internal legal team at Sun Microsystems, Inc. His responsibilities while at Sun Microsystems, Inc. included drafting and negotiating technology sales, licensing, development and services agreements for the sales and regional management staff and participating in planning meetings with the heads of legal for each global region.
Prior to working in the U.S.A., Brett was based for a number of years in Berlin, Germany. There he completed a Masters of Law degree at Humboldt University, while working at the same time for Coudert Schürmann Rechtsanwälte, a Berlin-based corporate law firm. He prepared contracts and legal memoranda in German and English in areas of German and European intellectual property, M&A, cross-border litigation, European law and European/German antitrust law.
Brett is admitted as an attorney in New York, U.S.A., and as a solicitor in New South Wales, Australia.
He is a Member of the Bar Association of the City of New York and the Law Society of New South Wales. He speaks German as well as English.
