Skins™ Consolidated Pty Ltd – Expansion Capital Investment – Equity Partners

Eagle Corporate Advisers advised Skins™ Consolidated Pty Limited ('Skins') on the investment financing by Equity Partners Fund No. 3 Limited Partnership LP (‘Equity Partners’) and two co-investors.

Skins is a leading designer and marketer of premium compression sports apparel, which occupies the fastest growing segment of the sporting goods market globally.

Equity Partners together with the co-investors subscribed for a 25% equity interest in Skins, for the purpose of providing expansion capital to fund the continued growth of the business in Japan, the United States and elsewhere. Rajeev Dhawan, a Partner of Equity Partners who led the Equity Partners investment, has joined the Board of Skins.

Equity Partners is a leading private equity firm that specializes in mid-market management buy- outs, management buy-ins, acquisitions and expansion opportunities in Australia and New Zealand.

Eagle Corporate Advisers advised on all aspects of the investment in Skins, including preparation and negotiation of investment documentation (which introduced a special class of preference shares), a debt subordination agreement, co-investment arrangements and other matters.
